Welcome to TalkBuddie! These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and TalkBuddie (“TalkBuddie,” “we,” “our,” or “us”) and govern your access to and use of the TalkBuddie website, mobile applications, and related services (collectively, the “Service”). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

1. Eligibility
You must be at least 13 years of age to access or use the Service. If you are under the age of 18, you represent and warrant that you have obtained the consent of your parent or legal guardian to use the Service and to agree to these Terms of Use. You are not permitted to access or use the Service if doing so is prohibited under applicable laws or regulations in your local, state, or country's jurisdiction.
2. Account Registration and Responsibility
Certain features of the Service may require you to create an account. You agree to provide accurate, complete, and up-to-date information during registration and to keep your account information current. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. TalkBuddie is not responsible for any loss or damage resulting from unauthorized access to your account.
3. Description of the Service
TalkBuddie provides conversational, interactive, and companionship‑oriented experiences generated through technology, including artificial intelligence (the “Service”). The Service is offered solely for entertainment, companionship, and general informational purposes. TalkBuddie does not offer medical, psychological, legal, therapeutic, or any other professional services, and nothing communicated through the Service should be interpreted as professional advice, diagnosis, treatment, or a substitute for obtaining such services from qualified professionals. You acknowledge and agree that any reliance on information or interactions provided through the Service is at your sole discretion and risk.
4. Free and Premium Services
TalkBuddie offers both free features and optional paid subscription plans or premium features (“Premium Services”). Free features may be modified or discontinued at any time. Premium Services are billed in advance on a recurring basis unless cancelled prior to renewal. We reserve the right to change pricing, features, or availability of Premium Services with reasonable notice.
5. Payments, Billing, and Refunds
Payments for any premium or paid features of the Service (“Premium Services”) are processed by third‑party payment providers. By purchasing a subscription or any Premium Service, you authorize TalkBuddie and its payment processors to charge your designated payment method in accordance with the applicable pricing, billing cycle, and any other terms presented at the time of purchase.
All fees are non‑refundable, unless a refund is required by applicable law. TalkBuddie does not provide prorated or partial refunds for unused portions of a subscription term, including where the subscription is canceled before the end of the billing period.
If you purchase or manage your subscription through the Apple App Store or Google Play Store, all billing, renewals, cancellations, and refund requests are governed exclusively by the policies and terms of those respective platforms, and TalkBuddie does not have the ability to modify or override their determinations.
6. User Content
You retain all ownership rights in any content you submit, upload, transmit, or generate through the Service (“User Content”). By providing or generating User Content in connection with the Service, you grant TalkBuddie a non‑exclusive, worldwide, royalty‑free, transferable, and sublicensable license to host, store, reproduce, process, display, and otherwise use such User Content solely as necessary to operate, maintain, enhance, analyze, and develop the Service, including to improve AI models, functionalities, and overall service quality.
You represent and warrant that (i) you have all rights, permissions, and authorizations necessary to submit or generate the User Content and to grant the license described above, and (ii) your User Content does not violate any applicable law, regulation, or third‑party rights, including intellectual property, privacy, or publicity rights. You are solely responsible for the legality, accuracy, and appropriateness of your User Content.
7. Acceptable Use and Prohibited Conduct
You agree to use the Service in a lawful, respectful, and responsible manner and only for its intended purposes. You may not use the Service in any way that violates applicable law or infringes upon the rights, safety, or well‑being of others.
Without limiting the foregoing, you are strictly prohibited from engaging in any of the following conduct:

Illegal, Harmful, or Abusive Conduct
Using the Service to engage in, promote, or facilitate any activity that is unlawful, harmful, abusive, threatening, harassing, defamatory, or otherwise objectionable. -
Hate, Violence, or Discriminatory Content
Generating, transmitting, or disseminating hate speech, discriminatory content, extremist content, or content inciting or glorifying violence. -
Sexually Explicit or Obscene Content
Creating, sharing, or distributing content that is obscene, pornographic, sexually explicit, or intended to arouse sexual interest. Any attempt to create or exchange sexual content involving minors is strictly prohibited. -
Self‑Harm and Suicide Content
Promoting, encouraging, normalizing, glorifying, or providing instructions for self‑harm, suicide, or behaviors that could endanger oneself or others. You may not generate or disseminate depictions or descriptions of self‑harm in any manner intended to encourage or normalize such behavior. -
Exploitation or Endangerment of Minors
Attempting to exploit, groom, harm, or endanger minors in any form. This includes any conduct, communication, or content involving or targeting minors in an inappropriate, unsafe, or unlawful manner. -
Malicious or Disruptive Activity
Uploading, transmitting, or distributing malware, viruses, malicious code, or any content designed to disrupt, damage, or interfere with the Service or any user’s systems. -
Interference With the Service
Attempting to access or use the Service through automated systems, bots, scripts, scraping tools, or other non‑authorized means; attempting to reverse engineer, decompile, tamper with, or otherwise interfere with the Service or its underlying technology. -
Impersonation and Misrepresentation
Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with any person or entity.
TalkBuddie reserves the right, at its sole discretion, to review, remove, restrict access to, suspend, or permanently terminate any content or account that violates this Section or that poses a risk to users, minors, the public, or the integrity and security of the Service.
8. AI-Generated Content Disclaimer
The Service may produce content, outputs, or responses generated by artificial intelligence (“AI‑Generated Content”). AI‑Generated Content may be inaccurate, incomplete, misleading, or entirely fictional. TalkBuddie makes no representations or warranties regarding the accuracy, reliability, completeness, or suitability of any AI‑Generated Content.
You acknowledge and agree that you are solely responsible for evaluating and interpreting any information provided through the Service, and you should not rely on AI‑Generated Content as a substitute for professional advice, independent judgment, or factual verification. You further agree that you will independently verify any information that is important to your decisions before acting upon it.
9. Intellectual Property
All trademarks, logos, software, designs, text, and other proprietary materials associated with the Service are owned by TalkBuddie or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or exploit any part of the Service without prior written permission. Any feedback or suggestions you provide may be used by TalkBuddie without restriction or compensation.
10. Third-Party Services
The Service may include integrations with or links to third-party services, including payment processors and app distribution platforms. TalkBuddie is not responsible for the content, policies, or practices of third-party services, and your use of such services is governed by their respective terms and policies.
11. Suspension and Termination
TalkBuddie may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms, misuse the Service, pose a risk to other users, or if required by law. You may stop using the Service and delete your account at any time. Certain data may be retained as required by law or for legitimate business purposes.
12. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis, without any warranties of any kind. To the fullest extent permitted by applicable law, TalkBuddie expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non‑infringement, and any warranties arising out of course of dealing, usage, or trade practice.
TalkBuddie does not warrant or guarantee that the Service will be uninterrupted, timely, secure, accurate, reliable, error‑free, or free of viruses or other harmful components, nor that any defects will be corrected. Your use of the Service is at your sole risk.
13. Limitation of Liability
To the maximum extent permitted by law, TalkBuddie shall not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to your use of the Service. In no event shall TalkBuddie’s total liability exceed the amount paid by you to TalkBuddie in the twelve months preceding the claim, or zero if no payments were made.
14. Indemnification
You agree to indemnify, defend, and hold harmless TalkBuddie from any claims, damages, losses, liabilities, and expenses arising out of your use of the Service, your violation of these Terms, or your User Content.
15. Dispute Resolution and Arbitration
To the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall be resolved exclusively through binding individual arbitration, rather than in court. You and TalkBuddie expressly waive any right to a trial by jury and any right to participate in a class action, class arbitration, or other representative proceeding.
Nothing in this Section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for claims involving intellectual property rights, unauthorized use of the Service, or other matters for which injunctive relief may be appropriate. If arbitration is prohibited or unenforceable under applicable law for a particular dispute, the dispute shall be resolved exclusively in the courts of Broward County, Florida, USA, and both parties consent to such venue and jurisdiction.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict‑of‑law principles. You agree that any dispute not subject to arbitration under Section 15 shall be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to the personal jurisdiction and venue of those courts.
17. Changes to These Terms
TalkBuddie may update these Terms from time to time. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
18. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
19. Assignment
TalkBuddie may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets without restriction.
